1.Who we are and what this covers#
The Service is provided by Foyer Intelligence LLC, a Colorado limited liability company (110 16th St, Ste 1460, Denver, CO 80202, USA) ("Foyer", "we"). Foyer may transfer these Terms and any agreement under them to an affiliated company that takes over the Service, by notice to the Property by email. The seller's legal name and address appear on every invoice, which is issued by our payment provider acting as merchant of record and named on that invoice. Foyer provides Phil, a guest-operations service for hotels: a guest-facing web app and chat, a staff dashboard, staff notifications, and the connections between them (the "Service"). These Terms govern the subscription and use of the Service by a hotel or hospitality business (the "Property", "you"). By subscribing to a plan you agree to them on behalf of the Property.
Guests who use Phil during a stay are the Property's customers. Their use is governed by the Property's own guest terms and by our Privacy Policy, which describes how guest data is handled on the Property's behalf.
2.Plans and billing#
Plans and prices are listed on our pricing page. Core covers guest messaging, answers, requests, reservations, escalation and the staff dashboard; Revenue adds the revenue products (the Property's own offers, in-stay ordering charged to the room folio, and revenue reporting); Dynamic includes everything in Revenue and is billed by use. There is no trial period. Self-serve plans are billed monthly in US dollars and start on payment: the monthly price in advance, and on Dynamic the engaged check-ins of each billing period with the following invoice. Annual plans are 20% off. We offer them once your usage data shows which plan fits your property. After payment we contact the Property within 24 hours to book an onboarding call, open the dashboard within 48 hours, and complete our standard onboarding within 3–7 business days, using the same fixed configuration steps for every property, included in the plan.
Custom agreements cover more properties, higher volume or special configuration of Foyer, priced per deal in a written Order Form. They are billed through our merchant of record; each invoice is due within 14 days, access may be suspended if an invoice stays unpaid 14 days after its due date, and there is no minimum term. Where an Order Form signed by both parties conflicts with these Terms, the Order Form prevails for that Property.
Core and Revenue include 1,000 guest check-ins per calendar month; a Custom agreement sets its own allowance and billing interval in writing. One check-in is one reservation that uses the Service during its stay, however many guests share the room and however many messages they send; a reservation that never opens Phil does not count, and the count resets on the first day of each calendar month. Calendar months and days for allowances and limits are counted in the Property's local time: the time zone set for the Property, or the one its property-management system reports. Dynamic has no monthly allowance: Dynamic has no monthly allowance. You pay $799 a month plus $2 for each engaged check-in, billed with the monthly invoice. From about 600 engaged check-ins a month, Revenue costs less. An engaged check-in is a stay in which the guest used Phil: they opened the guest app from the room QR code or the stay link, joined the stay on their phone, or sent Phil a message. Each stay counts once, in the month of check-in, however many guests share the room and however many messages, orders or requests follow. Engaged check-ins are counted by Foyer and reported to our merchant of record, which bills them in the billing period in which they are reported. On Revenue, additional check-ins are sold as one-time blocks of 500 at $199 per block, bought from the dashboard, up to 50 blocks at a time; higher volumes use a Custom agreement. Blocks do not renew and do not expire: they are used only after the month's included check-ins, oldest first, and a block bought during a month also covers that month. If a month runs past your included check-ins, nothing pauses and nothing is billed after the fact. We let you know. On Revenue you can buy blocks, and a block bought later in the month covers that month first. On Core you can move to Dynamic or Revenue. The included check-ins reset on the first day of each month and unused ones do not carry over. Blocks you buy carry over from month to month until they are used. Included check-ins are never refunded.
Auto top-up is off unless an admin of the Property turns it on in the dashboard, for check-ins and call units separately, with a monthly limit. While it is on: when your call units are down to 5% left, we charge one pack of 1,000 call units for $399 to the card on file; when your check-ins are down to 5% left, one block of 500 check-ins for $199; each at most as many times a month as the limit allows. Each charge is a separate one-time payment through our merchant of record, adds a pack that never expires and is listed on the Usage page. A charge that fails is not retried automatically and nothing else changes: the quota behaves as it does without auto top-up. Turning it off stops the next charge.
Payments are processed by our payment provider acting as merchant of record, named on your invoice. It issues the invoice, handles applicable taxes, and stores payment details; we never receive card numbers. By subscribing you also accept its terms as they apply to the transaction.
Prices may change with at least 30 days' notice by email; a change takes effect at the next renewal after the notice period.
3.Cancellation and refunds#
Dynamic, Revenue and Custom come with a 90-day fit period. If Phil is not a fit for your property, ask for a refund within 90 days of your first payment and we refund what you paid less $799 for each month used, so at most $2,397 is kept over the 90 days. A month counts as used from the day it starts. The refund is paid within 14 days of your request. It applies once per property and only when Phil was actually running: your offers on, your PMS connected and your staff confirming orders. Phone add-on fees and call-unit packs are not refunded. Core is not covered and is not refunded. After 90 days no refund applies. Plans are billed monthly, or yearly on an annual plan: cancel any time and service runs to the end of the billing period already paid, with no refund for the rest of that period beyond the fit-period refund above.
Check-in blocks: on request, we refund the part you have not used yet. Call units, from the phone add-on or from packs, are not refunded. The part of a block already used is never refunded. Write to support@foyerintelligence.com with the property name and the invoice number.
You can cancel at any time from the billing portal linked in your invoice email or by writing to support@foyerintelligence.com. Cancellation stops the next renewal; the Service stays available until the end of the period already paid. Details are in our Refund and Cancellation Policy.
4.Your account and staff access#
- Staff register with a one-time link or key that a manager creates in the dashboard, then sign in with their mobile number and a one-time code, or with a personal access key. You are responsible for who receives a link or key and for deactivating teammates when someone leaves.
- You must keep Property information Phil relies on (hours, prices, policies, menus) accurate. Phil answers from what you enter.
- You are responsible for telling guests, in your own guest notices, that Phil is an AI assistant operated for the Property; the guest chat also says so on screen.
- Text messages: Foyer texts each Property's guests from one Foyer toll-free number, 1-866-81-FOYER, on the Property's behalf, and every stay text starts with the Property's name followed by "via Foyer"; sign-in verification codes come through Twilio Verify, which may use its own numbers and wording. The texts are transactional only: the stay link and access code, sign-in verification codes and updates on the guest's own orders and requests, sent to the phone on the booking as described in our Text Message Terms (foyerintelligence.com/sms) and under Text messages in our Privacy Policy. No marketing. Message frequency varies. Msg & data rates may apply. Reply STOP to opt out, HELP for help; HELP answers with the Property's front desk number. Agreeing is not a condition of any purchase. The Property shows Foyer's consent line next to the phone number on its registration card and booking form, and passes on a guest's request to stop texts. Foyer texts the Property's staff only one-time sign-in codes: staff alerts go to the Property's Telegram groups and the dashboard. Mobile numbers and consent are never shared with third parties for their marketing. Foyer does not provide or resell telephone service and never holds guest funds.
- You will not use the Service to send unsolicited messages, to collect payment card data through chat, or in breach of applicable law, including hospitality, consumer and data-protection rules in your jurisdiction.
5.What the Service does and does not do#
Phil records guest requests, orders, reservations and offer claims and presents them to your staff for a decision. It does not itself complete a service or charge a guest; your staff decide and deliver. Confirming an order completes its record. For orders paid through the room folio, when authorised staff confirm an order, its charge goes on the guest's room bill: Foyer posts it to your property-management system once charge posting is switched on for your property, and until then your front desk adds it in that system. The Property's own system issues the guest's invoice.
Foyer never takes, holds or settles guest money. Guests pay through the room folio. Card payments through the Property's own payment processor are coming soon. Staff confirm every order. Guests can cancel an order placed ahead until it is sent to the venue; after that, and for laundry, they ask the front desk, and your staff decide.
Emergency language is routed to your duty team and the guest is directed to local emergency services. Phil is not an emergency service and must not be relied on as one.
6.Room charges and the card on file#
Phil lets a guest charge something to the room only when the Property holds a card or payment guarantee for that stay. At setup, the Property's admin answers one question on the Hotel page: "Do you take a card from every guest at check-in?" The answer is recorded with who gave it and when, and the Property can change it on the Hotel page at any time.
By answering yes, the Property confirms that it takes a card from every guest at check-in. Phil then lets a checked-in guest charge to the room. If the Property answers no, or has not answered, Foyer blocks room charges for every stay without a confirmed card: a charge goes through only when the Property's system shows a card or guarantee on the booking, or when the Property's front desk marks that guest's stay as having a card on file.
A stay the Property's system closes to charges is never charged to the room, whatever the answer. When a charge is blocked, nothing is sent to the Property's staff or to its system, and the guest is told the charge can't go on the room bill and is sent to the front desk.
7.Phil on the phone#
Phil on the phone is an optional add-on to the Revenue plan; it is not available on Core or Dynamic. $1,499 a month on the Revenue plan, with 3,000 call units a month included. Need more? Buy a one-time pack of 1,000 call units for $399 from your dashboard, up to 20 packs at a time; for more, ask about Custom. Packs never expire and are used only after the month's included units. Every minute of a call uses 1 call unit, on the phone or in the guest app. Each call is counted in minutes, rounded up to the next full minute. The included units reset on the first day of each calendar month in the Property's local time and unused ones do not carry over. Units from packs carry over from month to month until they are used. Call units are not refunded, whether included or from a pack. When a property has no call units left, no call options are offered and Phil asks the guest to message instead. Messaging is never affected.
A call starts in one of three ways. A call option in the guest app (the guest asks, Phil offers it, or your staff send it) is good for one call: a voice call in the app, or a call from Phil to the phone number on that guest's reservation. Wake-up calls are placed at the time an eligible guest booked. On your Phil line, a caller whose number is on a stay in house is helped with that stay, and any other caller can make a new room reservation request. Bookings that need a decision go to your staff to confirm or reject like any other order or request. Phil never takes card numbers by voice and never reads out a guest's bill or existing charges; before placing an order or booking it reads back its price and waits for a yes.
Phil says it is an AI assistant in the first sentence of every call, and calls are transcribed for the hotel. Foyer never stores call audio. The transcript is redacted before it is stored (phone numbers, card numbers, email and street addresses, names other than the guest's first name, and health or allergy details are removed), kept for 12 months and then deleted; anonymised copies may be kept after that, as described in the Privacy Policy. Transcripts are readable only by your staff who can see guest requests and are never shared with another hotel; transcript text is used to improve the Service only after it has been anonymised, as described in the Privacy Policy. The Property remains responsible for telling guests in its own guest notices that Phil is an AI assistant operated for the Property. Phil on the phone is a software feature of Phil, an AI assistant. Foyer does not provide or resell telephone service.
8.Availability and support#
We aim for the Service to be available continuously and design it so that safety routing, staff notifications and the dashboard keep working when the conversational model is slow or unavailable. We do not guarantee uninterrupted availability. Planned maintenance is announced in advance where practical. Support is by email at support@foyerintelligence.com on business days, with priority for issues that stop guests or staff from being served.
9.Data#
Guest and operational data belong to the Property. We process them only to provide the Service, as described in the Privacy Policy, and act as the Property's processor for guest personal data. Our data-processing agreement is available on request and, once signed by both parties, forms part of this agreement. During the first 30 days of the subscription our team reviews the Property's conversations to correct wrong or missing answers and to tune Phil's knowledge and instructions for that Property. This review is done for the Property only, its results are not shared with other properties, and no model is trained on the Property's data. After 30 days, we may anonymise conversation data, removing names, phone numbers, room numbers and anything else that identifies a guest or the Property, and use the anonymised text to improve the Service. Anonymised data cannot identify a guest or a Property. Personal data is never used to train public or third-party models. On termination the Property can export its data for 30 days, after which it is deleted from live systems; database backups roll off within a further 7 days. This does not include the anonymised copies described in the Privacy Policy, which identify no guest and no Property.
10.Intellectual property#
The Service, its software, designs and documentation remain ours. You receive a non-exclusive, non-transferable right to use them for the Property's operations during the subscription. Content you enter (menus, facts, photos, knowledge) remains yours; you grant us the right to store and display it to operate the Service.
11.Liability#
To the extent permitted by law, our total liability arising from the Service in any twelve-month period is limited to the fees you paid us in that period. We are not liable for indirect or consequential loss, for the acts of guests or staff, or for decisions your staff make on the basis of information the Service presents. Nothing in these Terms limits liability that cannot be limited by law.
12.Changes and termination#
We may update these Terms; material changes are announced by email at least 30 days before they take effect, and continued use after that date is acceptance. Either side may end the subscription for a material breach that is not cured within 14 days of written notice. We may suspend access immediately if the Service is used unlawfully or in a way that harms guests, other customers or the Service.
13.Governing law and contact#
These Terms are governed by the laws of the Republic of Türkiye, and disputes are subject to the courts of Türkiye, without prejudice to mandatory protections that may apply. Contact: support@foyerintelligence.com.
